  Joseph S. Moran

Joseph S. Moran, Counsel to Trinity Law Group, a greater Boston law firm, focuses his practice on general corporate law, counseling small to mid-sized public and private corporations and their boards of directors on corporate formation, transactions, financing and compliance with legal requirements. He has extensive experience in mergers and acquisitions, securities law, public and private financing and corporate governance. He provides advice and guidance on business development strategies, corporate compliance and best practices for senior executives and board members. 

Previously, Mr. Moran served as Vice President, General Counsel and Secretary of AMREP Corporation (AXR New York Stock Exchange), a diverse media services and real estate development company and of SatCon Technology Corporation (SATC Nasdaq), a leading energy technology and power electronics company. His previous experience includes serving as senior legal officer for a Fortune 500 company guiding international regulatory and business strategy and as assistant general counsel for an EU-based global manufacturer. Mr. Moran also served as a senior federal enforcement attorney in the U.S. Environmental Protection Agency at its Washington, D.C. headquarters handling high profile enforcement actions, including the Boston Harbor case. He subsequently headed up the Environmental Practice Group for Rivkin, Radler, Dunne & Bayh, which at the time was one of the largest 150 law firms in the country.

Mr. Moran has assisted publicly held corporations on initial and secondary public offerings, private equity and bank financings, mergers, acquisitions and divestitures, corporate restructuring and stock redemptions and asset securitizations. In his capacity as corporate secretary of public companies on both the New York and Nasdaq stock exchanges, he has advised boards of directors on their obligations as board members and as members of corporate governance, audit and compensation committees. He also handles a broad range of contract, real estate, employment, benefits and compensation matters, and has extensive experience in evaluating, protecting and licensing intellectual property.

In addition to his expertise in U.S. law, Mr. Moran has extensive experience in structuring and executing corporate transactions in the EU and in Asia and advising the international divisions on corporate and compliance issues. He also served as the Managing Director of a Munich-based subsidiary of his client company with “bottom line” responsibility. This combined business and legal expertise provides him with a unique insight into assisting businesses, both domestic and non-domestic.

He is a member of the Massachusetts and Washington, D.C. bars, the U.S. District Courts for the Districts of Massachusetts, Northern Illinois and Western Michigan, the U.S. Court of Appeals for the 1st Circuit and the U.S. Supreme Court. He belongs to the American Bar Association, Business Section and is the Co-Chair of the Corporate Governance Sub-Committee of the Corporate Counsel Committee and is a member of the Association of Corporate Counsel, Corporate and Securities Law Committee. Mr. Moran has been active in his communities throughout his legal career, having been elected as Advisory Neighborhood Commissioner in Washington, D.C, and served as a member of the Zoning Board of Appeals and as City Ambassador for the City of Lake Forest, IL. He resides in Dedham, MA with his wife and two children.
